1. Introduction

Welcome to InfluPulse. These Terms of Service ("Terms") govern your access to and use of the InfluPulse website, mobile applications, and services (collectively, the "Service"). Please read these Terms carefully before using the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Definitions

In these Terms:

• "InfluPulse" refers to our company, platform, website, and services.
• "Brand" refers to any user who registers as a brand on our platform.
• "Influencer" refers to any user who registers as an influencer on our platform.
• "Collaboration" refers to any agreement between a Brand and an Influencer facilitated through our platform.
• "Content" refers to any text, images, videos, or other material that users upload, post, or share on our platform.

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to provide accurate, current, and complete information about yourself. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You may register as either a Brand or an Influencer. Each account type has specific features, rights, and obligations as detailed in these Terms.

4. Instagram Integration

Our Service allows Influencers to connect their Instagram accounts. By connecting your Instagram account, you authorize us to access certain data from your Instagram account as specified during the authorization process. You represent and warrant that you have the right to grant this access and that your use of our Instagram integration does not violate Instagram's terms of service.

You acknowledge that our access to your Instagram data is subject to Instagram's policies and technical capabilities, which may change without notice. We are not responsible for any changes to Instagram's API or policies that may affect our Service.

5. Collaborations

Our Service facilitates Collaborations between Brands and Influencers. InfluPulse is not a party to any Collaboration and does not guarantee the performance of either party. We provide the platform for Brands and Influencers to connect, negotiate, and manage their Collaborations.

All terms of a Collaboration, including but not limited to deliverables, timelines, and compensation, are between the Brand and the Influencer. You are responsible for ensuring that any Collaboration you enter into complies with all applicable laws and regulations.

6. Payments

Our Service may facilitate payments between Brands and Influencers. When using our payment features, you agree to our payment processing terms and the terms of our payment processor.

Brands are responsible for making timely payments for Collaborations. Influencers are responsible for delivering the agreed-upon content or services before receiving payment.

InfluPulse charges service fees for facilitating Collaborations and payments. These fees are clearly disclosed before you enter into a Collaboration.

7. User Content

You retain ownership of any Content you post on our Service. By posting Content, you grant InfluPulse a non-exclusive, worldwide, royalty-free license to use, display, and distribute your Content in connection with providing and promoting the Service.

You represent and warrant that you own or have the necessary rights to post your Content and that your Content does not violate the rights of any third party or any applicable law or regulation.

8. Prohibited Conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable law or regulation.
• Post Content that is defamatory, obscene, or otherwise objectionable.
• Impersonate any person or entity or misrepresent your affiliation with a person or entity.
• Interfere with or disrupt the Service or servers or networks connected to the Service.
• Attempt to gain unauthorized access to any part of the Service.
• Use the Service to send unsolicited communications or promotions.
• Use the Service to collect or harvest user data without consent.
• Use the Service in any way that could damage, disable, overburden, or impair the Service.

9. Intellectual Property

The Service and its original content, features, and functionality are owned by InfluPulse and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

11. Limitation of Liability

In no event shall InfluPulse, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

12. Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. InfluPulse expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
